Welcome to the AIBIP : AI-Business Integration Passport (the “Portal”). By accessing or using this Infrastructure, you agree to be bound by these Terms of Use. AIBIP is a product of Ava Semarak Berhad.

1. Nature of Service: Logic Infrastructure (IaaS)

AIBIP provides a Logic Infrastructure Layer. We provide the environment, schema, and connectivity for you to host your business DNA. We are not an AI engine, a search engine, or a marketplace. We provide the “grounding” for AI systems to interpret your business accurately.

2. User Accounts & Identity Verification

• Responsibility: You are responsible for the accuracy of the data provided in your Business Identity Passport (BIP).

• Authority: By creating a profile, you warrant that you have the legal authority to represent the business entity and publish its canonical logic.

• Credentials: You are responsible for maintaining the security of your Portal login.

3. Ownership of “Logic Assets”

• Your Data: You retain 100% ownership of the content, tribal knowledge, and business rules you input into your Logic Slots (BIP, WAP, CAP, PSP, PDP, BMP, EIP).

• Our Schema: AIBIP retains ownership of the underlying machine-readable structure, metadata formats, and the “Passport” architecture that enables AI interpretability.

• Portability: You have the right to export your machine-readable data at any time. However, the functionality of the “Live Connectors” to AI engines is exclusive to the Portal.

4. One-Time “Passport Slot” Investment

• Passport Slot Purchase: Additional Passport Slots (WAP, CAP, PDP, BMP, EIP) are purchased as a one-time capital investment.

• Persistence: Once purchased, the slot remains active as long as the Base Subscription is maintained.

• Non-Refundable: Due to the infrastructure nature of the slots, once a slot is activated and populated with logic, the purchase is non-refundable.

5. AI Accountability & “Hallucination” Disclaimer

• Grounding: AIBIP is designed to reduce AI hallucinations by providing structured grounding. However, AIBIP does not control the final output of third-party AI engines (e.g., OpenAI, Google, Anthropic).

• No Guarantee: While AIBIP provides the Signal, we do not guarantee how a third-party AI will synthesize that signal. The user is responsible for auditing their AI outputs.

• Audit Responsibility: The CAP (Controls & Audit Passport) is a tool to assist in monitoring; it does not replace the final legal responsibility of human directors.

6. Pricing Neutrality & Trust

• Anti-Bias: AIBIP will never accept payment to “rank” or “prioritize” one Passport over another in AI discovery.

• Infrastructure Integrity: Pricing is based strictly on data depth and hosting capacity. We do not offer “sponsored” or “advertised” slots within the Passport Manager ecosystem.

7. Managed Services & Professional Advice

• Consultation: Professional services (Logic Writing, Data Mining) are provided on a “best-effort” basis to assist in the digitization of business rules.

• Final Approval: All logic published to a Passport must be reviewed and approved by the Client. AIBIP is not liable for operational errors resulting from logic provided by the Client.

8. Service Availability & Security

• Uptime: We aim for 99.9% uptime for the Passport Manager and your public-facing BIP URLs.

• Encryption: All private logic (WAP, CAP, PDP, BMP, EIP) is encrypted at rest and while in-transmit. We utilize enterprise-grade security to protect your business’s proprietary “Tribal Knowledge.”

9. Termination

• By User: You may cancel your Base Subscription at any time. Upon cancellation, your public BIP URLs will be deactivated, and your Passport Slots will move to an “Archive” state for 90 days before permanent deletion.

• By AIBIP: We reserve the right to suspend accounts that publish fraudulent, illegal, or malicious code/logic.

10. Governing Law

These terms are governed by the laws of Malaysia. Any disputes shall be resolved in the courts of Malaysia.
